JANA MASTER FUND, LTD. v. CNET NETWORKS, INC.
- Abstract
The article presents the case JANA Master Fund Ltd. v. CNET Networks Inc. in Delaware. Motivated by what it perceives to be poor financial performance on the part of CNET stock, JANA seeks to replace the two current directors, expand the size of the board, and nominate five individuals to fill the newly created positions. On January 7, 2008, JANA filed a complaint with the Court that seeks a declaration either that the bylaws are inapplicable to JANA or that CNET's interpretation of the bylaws is invalid. JANA concomitantly filed a motion to expedite, and the parties agreed to advance the case by way of a motion for judgment on the pleadings with an abbreviated briefing schedule.
