- Abstract
This study aimed to investigate how to translate the implementation of Corporate Governance (CG) for public sector companies. For this, we examined the case of Technological Research Institute (IPT). This Institute sought, in mid 2006-2007, to implement the GC code of Brazilian Institute of Corporate Governance (IBGC), with directors who had experience and expertise in the subject. We followed the method of grounded theory, which is based on data from reality concepts to add to existing theories. The concepts obtained in the case were coded and compared with the existing literature for the development of theoretical propositions that answer the research question proposed. At the end, the propositions were related in a theoretical model that explains concepts of the management of public companies that facilitate the implementation of governance in this particular industry. The results suggest that public organizations should consider, when implementing the GC, the following aspects: Legal standards adaptation of public legislation, mandatory regulation versus improvement needs; start governance projects at the beginning of governmental mandates, clarity of objectives; professionalization of the administration council and political party shield.
