The article discusses how the delay in disclosure does not violate an U.S. Securities & Exchange Commission (SEC) mandated disclosure requirement as defined in its Rule 10b-5. Topics discussed include application of the common law to disclosure timing; use of corporate information to time corporate disclosure for a personal benefit; an exclusion of those who engage in disclosure timing from the benefits of Rule 10b5.
