- Abstract
The author focuses on the government's ownership stake in Bank of America Corp. (BOA) and its effect to the decision of the BOA Board of Directors to consummate the merger with Merrill Lynch & Co. (Merrill) in the U.S. The author evaluates the relative equity position of the Treasury in BOA and effectively force the board to consummate the merger. He determines the actions of BOA Board to show that corporate law should account for Treasury's substantial influence and control.
