- Abstract
The article focuses on the battle between the poison pills' evolution and the response of the Delaware Supreme Courts to this evolution. It states that the poison pill has been successfully used to protect corporate assets but proved unsuccessful in protecting corporate culture. It further states that the Delaware courts have always used increased scrutiny achieved from the Unocal test by Unocal Corp. whenever the board of directors' decision to execute the poison pill was tested.
