- Abstract
The article demonstrates the vast majority jurisdictions in the U.S. that have chosen to embrace the approach integrated by the Model Business Corporation Act (MBCA) over the Delaware General Corporation Law, making both available and viable to shareholders. It outlines the mandatory appraisal triggering transactions, which include merger activities, share exchanges and dispositions of assets. The controversy of both statutes as manifested through specific differences in their appraisal provision is also explored.
