- Abstract
The article discusses the constructive symbiosis between the Model Business Corporation Act (MBCA) and the Delaware's corporation law, including its statutory component, the Delaware General Corporation Law (DGCL). It outlines the elements of such, including the development of each statutes by drafting and case-law experiences, the new elements of corporate law initiated by the legislature and judiciary of Delaware, and the integration of MBCA's deliberative styles that has influenced the refinements of Delaware law. The significance of DGCL as a prolific source of innovation in statutory corporate law is also highlighted.
