- Abstract
The article discusses the mass media firm, Walt Disney Co.. litigation in which the Delaware courts addressed the meaning of bad faith under its corporate law. It explores the fundamental law of good and bad faith, focusing on how to prove bad faith and that good and bad faith are opposites. It examines the extent to which a director's mind must be consumed by bad faith in order for the conduct to be actionable and the methods that plaintiffs use to prove management's underlying motivation.
