- Abstract
The article reflects the representation of women and minorities on corporate boards. It discusses the proposals related to corporate diversity and amendments to the proxy regulations. It presents a report from the Alliance for Board Diversity on the seats held by females and minorities and discusses the effects of Proxy Disclosure Rule in appointing board members. It suggests that the U.S. Securities and Exchange Commission (SEC) should clarify the guidelines related to the nomination process.
