- Abstract
The article discusses the Delaware Supreme Court case In re Revlon Inc. Shareholders Litigation which deals with the application of the new intermediate standard to the sale of a corporation. It compares the court's decision in Revlon with its ruling in Unocal Corp. v. Mesa Petroleum Co. Other topics discussed include the involvement of non-financial considerations in the potential conflicts in a sale and the right to terminate a merger agreement to take a better deal.
