- Abstract
The article explores some of the complex issues of corporate law reform in the U.S. It reports the publicized scandals involving corporations in the country, and explains why corporations are a natural source of public irritation and tempting targets for politicians and journalists. The article discusses the requisites of management accountability, and presents different corporate situations that raise different aspects of the problem of corporate accountability. It also examines issues relating to charters and chartering, financial disclosure, and bankruptcy law.
