- Abstract
Mezzanine lending, financing that fills the gap between first mortgage financing and the total cost of the subject property, has become a major source of financing in commercial lending transactions. Designed to resolve issues arising from the increasing reluctance of first mortgage lenders to permit subordinate financing, mezzanine financing substitutes a senior equity interest for a second mortgage. This Article explores the issues surrounding the issuance of title and UCC insurance policies for the protection of mezzanine lenders. The authors also have provided a number of forms for use in conjunction with mezzanine financing transactions.
