The article discusses the existence of profound and meaningful differences between legal systems concerning freeze-out rights in the U.S. The author explains that a positive value in itself is not possessed by legal harmonization. He points out that looking beyond the U.S. system of corporate law and financial governance as a model for reform is suggested by the financial crisis.
