- Abstract
As a rule, it is the duty of the board of directors to manage and represent the joint stock company. However, Articles 367 and 370 of the Turkish Commercial Code No. 6102 allow for the delegation of these powers to one or some of the members of the board of directors or to third parties under certain conditions. The member of the board of directors who is authorized to represent the joint stock company alone is called the executive member or director, and the third person who is authorized to represent the joint stock company alone is called also the executive director or manager. In this article, the legal status of the executives is determined, the liability of the board of directors in case of delegation is examined, and the issue of whether the executive directors can re-delegate their powers is discussed. In addition, the connection of the issue with the executive and non-executive members of the board of directors within the framework of corporate governance principles is tried to be revealed.
