- Abstract
The article discusses the tenth anniversary of the Delaware Supreme Court's (DSC's) ruling in the 2003 case Omnicare Inc. v. NCS Healthcare Inc. which deals with fiduciary duties, voting agreements, and the market for deal protection devices in mergers and acquisitions. Majority and dissenting court opinions are addressed, along with hostile takeover jurisprudence and the business judgment rule. Other topics include merger agreements and preliminary injunctions.
