- Abstract
The article focuses on issues surrounding director poison puts in Delaware corporate law. It discusses Delaware Chancery Court cases such as San Antonio Fire & Police Pension Fund v. Amylin Pharmaceuticals Inc. and Kallick v. SandRidge Energy, Inc. that addressed breach of fiduciary duties by directors by failing to approve dissident nominees for the purposes of avoiding poison put. It also mentions Delaware corporate law that allows deference to business judgment of directors.
