- Abstract
The article presents information on the positive analysis as well as normative analysis of the case law in Kentucky for finding that whether shareholders share fiduciary relationship with each other. It discusses the fiduciary duties owed by the shareholders of a business corporation in Kentucky. It focuses the decision of the court case Haldeman v. Haldeman analyzing the different roles played by the directors and shareholders under the Business Corporation act.
