- Abstract
The article explores the significance to modify the flat recitation of the rule of directors' confidentiality in the U.S. on the context of limited authority for a blanket restriction and the necessary exceptions in which the issue arises. It highlights the responsibility of corporate directors to protect any material corporate information, which is the part of the overall duty to act reasonably that will serve the best interest for the company. It also mentions that the development of confidentiality agreements may establish boundaries for the disclosure of information.
