- Abstract
The article discusses an alternative approach to shareholder derivative litigation that combines certain features of the Continental civil procedure model with the U.S. model through the medium of disinterested person procedure. The advantages of disinterested person procedure, such as reduction of litigation costs, increased procedural fairness and greater protection of shareholders, are discussed.
