The article looks at the ways to balance specificity and ambiguity in financial regulations related to corporate finance and capital markets. Topics discussed include efforts of the U.S. Securities and Exchange Commission (SEC) to set up and enforce laws; SEC's expansive prohibitions on fraud, and responsibility of financial industry to respond to a system of backstop ambiguity.
