The article discusses issues on the independent director system in the management of public companies in the U.S. Also cited are the enacted laws to reform corporation laws like the Sarbanes-Oxley Act (SOX) and Dodd-Frank Act, the efforts to increase shareholder authority to examine corporate management, and the importance of director independence in modern corporate law.
