- Abstract
The article deals with the legal framework governing the identification and verification of the nature of a securities transaction in the U.S., based on the ruling of the U.S. Supreme Court in Morrison v. National Australia Bank, Ltd. Justice Antonin Scalia was credited in providing the criteria for the transactional test, in which purchase and sale are defined within the securities anti-fraud doctrine. The author notes that the parameters set by Justice Scalia would lead to confusion.
