- Abstract
The article discusses the Delaware Supreme Court case Kahn v. M&F Worldwide Corp. which examined the standard of going-private merger review by a controlling stockholder. A background of the case is provided wherein holding firm MacAndrews & Forbes Holdings Inc. offered to buy the remaining shares of M&F in a one-step going-private merger. Also explored are Delaware's rule on going-private merger, tender offers, and the court's reasoning.
