The article explores the health care benefit corporation (HCBC) and its potential application to health care in the U.S. Topics discussed are influence of the Berle-Dodd debate on corporate business structuring, social and moral dimensions of the modern corporation, the benefit corporation Model Act, deontology of U.S. health care, accountable care, significance of mission primacy, fiduciary duty and medical trust, and the proposed legal structure of HCBC.
