COURT ACTION TO COMPEL SPECIFIC PERFORMANCE OF CONTRACT TO PURCHASE STOCK OF CLOSE CORPORATION AMOUNTS TO A WAIVER OF RIGHT TO ARBITRATION OF ANY ISSUES INVOLVED IN THE LITIGATION.
- Abstract
This article focuses on the court ruling given in Lewis v. Helman case. Court action to compel specific performance of contract to purchase stock of close corporation amounts to a waiver of right to arbitration of any issues involved in the litigation. Petitioner did not, however, lose his right to compel arbitration concerning the continued employment of a book-keeper and similar questions respecting the internal management of the corporation's affairs.
