- Abstract
The article discusses the court case, San Antonio Fire & Police Pension Fund v. Amylin Pharmaceuticals, which tackled the anti-takeover strategy used by the board of directors of Amylin. The proxy puts strategy was utilized by the pharmaceutical company, in which five-persons slates were nominated by two big shareholders of the company to its board of directors that exposes Amylin in a debt indenture and credit agreement. The author suggests that there should be a rule in incorporating proxy puts as it presents a unique infringement on shareholders.
